  • Do I have to visit the Brazil to register my Brazilian company?
It's not necessary to visit Brazil to register your Brazilian company. However, it is required that you appoint a person residing in Brazil to act as the legal representative for the foreign shareholders and as the administrator/manager of the company. These two roles can be fulfilled by the same individual. Our firm offers representation services to meet this requirement, ensuring a smooth company setup process according to local regulations. To learn more about how we can assist you in this process schedule a meeting with us.
  • What are the basic requirements for an overseas resident to register a Brazilian company?
In addition to appointing a resident of Brazil as both the legal representative for the foreign shareholders and the administrator/manager of the company, as highlighted above, it is necessary to register the foreign individual or entity with Brazil's Federal Revenue to obtain a Tax Number ID, “CPF” for individuals or a “CNPJ” for legal entities.
  • Does obtaining a CPF or CNPJ as a foreigner entail any tax obligations or responsibilities for filing tax returns in Brazil?
The mere registration for a CPF or CNPJ for non-residents does not create any tax obligations or liabilities towards the Brazilian tax authorities. This registration is primarily for identification purposes and to comply with the legal requirements for company formation and other related activities in Brazil.
  • Do foreign companies pay tax in the Brazil?
country, including Corporate Income Tax (Imposto de Renda das Pessoas Jurídicas - IRPJ) and other taxes such as the Social Contribution on Net Profits (Contribuição Social sobre o Lucro Líquido - CSLL) and the Value-Added Tax (Imposto sobre Circulação de Mercadorias e Serviços - ICMS), depending on the activities and location of their operations. It's important for these companies to comply with Brazil's tax laws and regulations to avoid legal issues or fines.
